The Franchise Disclosure Document (FDD) is the foundation of the franchise sale. Federal law requires franchisors to provide it at least 14 days before any agreement is signed, and it must contain accurate, complete information about the franchise system, the franchisor's financial condition, and the terms of the franchise relationship.
When the FDD contains material errors or omissions — or when the franchisor makes oral representations that contradict the FDD — franchisees may have claims for misrepresentation, fraud, or violation of state franchise disclosure laws.
Common FDD disclosure disputes involve: inaccurate Item 19 financial performance representations; failure to disclose pending litigation or regulatory actions; misrepresentation of the franchisor's financial condition; omission of material changes to the system; and oral promises that contradict the written disclosure.
